Form a new Washington corporation or Washington LLC OR register your out of state company with the Washington Secretary of State.
This will get your Washington UBI number. During this 2-4 day waiting period, you can get your insurance company certificate ready AND order a $6,000 bond if you're a specialty contractor, or a $12,000 bond if you're a general contractor (Surety Bond Form). While you're getting the insurance and bond, we'll prepare the contractor application, email it to you filled out, and all you'll have to do is sign it in front of a notary and mail it to us with your bond and insurance certificate.
We'll be getting your Master Business License and registering you with the unemployment, workers' compensation and sales tax departments, and the Department of Revenue.
Once we get your signed form back, we'll get your temporary contractor's license the same day, and you'll be ready and legal to work in Washington. All in less than 7 days.
The first year of $65.00 Registered Agent service is included.

The "principal" address, is what we list at the state level as the main physical address. Technically, this is where the records should be kept. Most people prefer to list managers on record at the State, because a manager doesn't necessarily have to be the owner. It is considered a little more private. Usually you list the members in the operating agreement and appoint the managers in the operating agreement. They can be the same person. Sometimes people want to have something more "On Record" with the State, to prove ownership of an LLC. If this is the case, we can list the members and have it member managed.

The President is often the highest titled corporate officer. If there is no CEO appointed, (Which usually small to medium sized companies have no need to appoint a CEO) the President is as high as it gets in the company. Most States allow us to list the business address for all officers. The President is usually looking after the daily functions of the company, and the highest person in the regard of daily operations.

The Secretary is the titled officer in charge of keeping the books, By-laws, minutes, etc. The Secretary can be the same person as the President and Treasurer if needed.

The Treasurer is the corporate officer in charge of the accounting and financial aspect of the company. The Treasurer can be the same person as the President and/or Secretary if needed. The treasurer may typically be the person that oversees the daily money functions of the company.

The directors are usually the same people as the President, Secretary, and Treasurer, unless you have a big company that wants to have a greater mix of people on the board of directors. On a big company, the board of directors may consist of some of the officers, regular paid employees, and some non-company people who have an outside interest and views to help the company.

Directors are normally nominated by the shareholders directly, and thus could be voted out by shareholders at any point. Directors are in charge of appointing the President, Secretary, Treasurer, and any other officers.

A corporation has stock, and the stock is organized by having shares of the stock. Typically, you would have 100 shares, or another easy number is 1000 shares. The stock of the corporation is the ownership of the corporation. We must issue shares of the stock, and the shareholders will own the shares, and thus, own their part of the corporation. These shares exist and are active once the articles of incorporation are filed at the Secretary of State.

We recommend keeping your number of shares lower because some States will have higher filing fees and ongoing fees if you keep a high number of shares. The value of the share is determined by you, making it kind of pointless to have millions of shares of a company.

The shares in the corporation are going to be bought by you the shareholder. This is what gives the corporation operating money. The shares can also be bought by you with assets, such as equipment, real estate, accounts receivable, etc. Usually, you will determine the value of these shares with the par value. So if you want to fund the company with $1,000.00, you could have 1000 shares and make the par value $1.00 This is a nice way to document what you’re starting the company with, but not entirely necessary.

The Par Value has no real relevance of value of the corporation. For simplicity, we recommend no par value or $1.00. The buying of the shares of stock you authorize to issue can be bought through a bill of sale regardless of what the par value is. Here are our 2 points to remember about par value:

If you make it zero or $1.00 it will be easier to sell the shares or give them away.
If you make it a real high value, it will be harder, or take more money, to sell the shares, or get "taken over" by other shareholders in a deal gone bad. Shares of stock cannot be sold for less than the par value.

95% of corporations we see will be best suited listing zero or $1.00.

Most people will issue the full amount of shares authorized. The stockholders are the ones who authorize a set amount of shares. Let’s use 1000 as our example. The stockholders vote the directors into their roles. The directors, then issue shares of stock to the shareholders.

If you might have additional investors down the road, you would only issue 501 shares, so the company would retain 499 shares (A Minority, so you always stay in full control) and the company could then sell and issue the 499 remaining shares to an investor.

For simplicity sake, most people will issue common stock. This means, every share of stock is the same. Dividends will be divided evenly. It’s the most simple.

If you watch the news, you might recall Citibank getting bought up by our Government. The government got preferred shares of stock, meaning they got paid first upon a total collapse. You can specify preferred stock, but this is only really necessary if you are going to have a multitude of different investors and shareholders, and you want to really specify some of the powers of each investor. 99% of small to medium businesses and even a lot of large corporations, just keep it simple, have all common stock. It's the simplest choice.
